I'v got 800 bucks to spend on an upgrade, I have some ideas but I always like to see what everyone esle thinks too.

What I need:
-New Processor @ 700 Mhz+ (Intel or AMD)
-Mobo to go with the Processor
-However much is left over from 800 bucks goes to as much ram as I can buy PC100 preferably.

Mobo = 150 $US for a top of the line model
CPU = 275 $US for Intel Chip, 225 $US or less for AMD Chip of eq clock.
a 128 MB stick of PC100 SDRAM will cost you bout 125-140 $US

so figure 500-600 $US on upgrades as a rough figure
the other 200$ could go towards a hdd i suppose.

Check www.pricewatch.com for price comparisons

I can't remember what Video Card you've got!

CPU - Intel 800E MHz (Maybe a 650E and overclock - More money for RAM then)

Mobo - Thats a difficult one. I have the ASUS P3v4x and it's a good board. I'm a little dissappointed in the memory performance though. A new i815E chipset mobo might be the way to go, which one? I dunno, I haven't done that much research as they are reletively new.

RAM - Again, not to up to date with spec etc. Just the quickest CAS2 ya can get ya hands on but at least 128MB.

There is not a great deal to choose from is there. You might want to wait a bit longer and see what develops over the next month or two.

What are your intentions insofar as your video card is concerned. Personally if you go GeForce I'd stick with Intel CPU's. I'm in a similar situation as you at the moment. There is nothing that really wets ya apertite is there?

AMD Thunderbird 700 - $180 (?)
ASUS K7V - $140 (May want to wait until official T-Bird motherboards come out)
128MB RDRAM, lol

256MB HSDRAM?

The only question mark would be the heatsink and cooling fan that they send with that. Even if the heatsink is a POS, the processor and mobo are still a good deal. You may want to order an VOS32 or alpha heatsink, just to be safe.
