Go cheap w/ A8n 32SLI or make the jump to IP35?

Hi, I can buy a used A8N-32SLI for around $50. I have DDR memory I can use with it but would need to buy a new proc to go with the board. I would probably be looking at $130-$140 total if I went with a 4200 x2. My question is would I be better off getting the Abit IP35 and a core 2 duo proc? I have 1 GB of Ampx DDR2 PC2-5400 I would use so that might limit how much I could OC. I do not game but do a lot of video encoding. If going the IP35 route, what proc would give me as good as or better preformance than the 4200 X2 at stock speeds? What proc would be a good choice for a mild OC with the memory I have to use? Thanks
