In all honesty, if you are going with a discrete graphics solution, get the UD3 as the rear i/0 isn't clogged up with video outputs you may never use.
Both will overclock roughly the same, with overclocks around 4.5Ghz being easy enough to achieve.
Expect excessive Vdroop and Vdrop with these boards, manageable, but still annoying. My UD3 has my 2500k at 4.5Ghz without much fuss. I did modify the VRM cooling a bit, adding heat sinks to the exposed parts and increasing the spring tension on the existing sink via shims. These parts get rather hot in my WC build...so I felt it necessary. Whether its made a difference...it hasn't, I doubt I would have experienced overheating otherwise, but it gives me peace of mind.
