Gigabyte X58A-UD5 boot loop

Hello.. I purchased a very nice pc from a private seller which ran fine at his place and at mine, but now after I shut it down last night ( ran fine for a week) the pc sill not complete POST

using a Gigabyte X58A=UD5 ultra durable motherboard with 6gb super talent memory...

The onboard debug LED counts up from C1 to 52 fine, whatever it moves to after 52 disappears too fast to ever read because that is when it reboots itself

it shows the gigabyte splash screen for a second each time, but does not allow me to enter bios setup.

I tried using the cmos reset button on the back and also reset the battery on the board/shorted it with a screwdriver for 5seconds like the motherboard manual directs for cmos resetting..

I disconnected all devices including hard drives and video card, it doesn't affect the reboot behavior at all

I tried using only 1 stick of memory at a time in slot 1, same thing. wont boot past C1 with no sticks in at all, of course.

I can't get this working at all... my spirit is somewhat crushed at this point and I'm out of ideas... Anyone know what I can do?

Thank you for taking the time to read my thread...
