Gigabyte S3 Rebooting and reseting FSB to stock and memory to auto

I can't find this problem posted anywhere
I have a gigabyte s3 bios f6,500 watt antec smartpower. When I overclock and reboot it sometimes will reboot 3 times then a rapid series of beeps and boot to stock FSB. and resets the memory to auto. Whitch is set to 2.0 multiplier. IT runs ferfectly stable at 3.0mhz with dual prime and memtest. Not new to overclocking, have tried fifferent voltage settings. Disabled the things that I dont need in the bios
Has anybody else had this problem?

I have the same problem....very irritating. My clocks are stable (437X8 = 3.5ghz). However, apparently randomly, upon reset or shut off...the S3 will resume at stock cpu host control clock set at disabled. I've passed Prime 95 (2 of them running at the same time with SuperPi at the same time) for 24 hours. It's a horrible problem as the system is fine in windows.
