Has my Gigabyte DS3 gone bad? It seems like a mobo problem to me.
So I built my computer, ran it for 8 hours Orthos and Prime 95 stable to burn it in. Everything was stock. I leave for 8 days on vacation, come back and its crapped.

The Specs are:
Gigabyte 965P DS3 Rev 3.3
OCZ PC8500 1066MHz DDR2 (2x1GB sticks)
C2D E6420 (2.133 GHz 4MB L2 Cache)

Those are the parts in question.
Rest of the parts:
Seagate PATA 7200.10 400GB
Sapphire ATI X1950 Pro 512MB
Samsung 18X SATA DVD Burner
Corsair 620HX 620W PSU
Antec Nine-Hundred Case
TR Ultra-120 Extreme Heatsink

Now the problem. Before leaving I made sure it was stable. It was all good for the first week then I had a minor hiccup. The PC wouldn't post, didn't even beep. It would just power up and nothing else. All fans running but I don't recall hearing the HD power. I posted a message, someone reminded to check my ram seedings, low and behold I was running 2GB in the 1 and 2 slots vs the 1 and 3. Fix that, didn't work, one stick went bad. Got two new sticks, ran it in the 1 and 3 slots, worked fine. Leave for 8 days come back, it boots no problem, left it on for 3 days and turn it off to leave for another 48 hours. Come back it won't post, again. I check the ram, take out each stick and check it, one stick went bad again. (Two totally new OCZ sticks or the same stats). When I place one stick in it ran fine, booted to windows no problem. Turn off PC again. Place the 2nd stick (that was supposedly bad) back in the 3rd DIMM slot. It boots! but now it prompts a windows account log in screen... (it did not before) and then the screen flickers and now my laser mouse no longer works. I grab the old optical mouse (both USB) and it works!. Now I am suspecting this all maybe a OS problem... I am using WinXP SP1!! I don't have another valid XP Pro key to use and the only thing I had was the old WinXP SP1 cd.

Long story but that brings me to my current situation. I have a C2D E6420 on a Gigabyte 965P DS3 Rev 3.3 with 2GB of OCZ PC8500 that flickers at the WinXP SP1 32-bot login screen and kills my laser mouse.
What is wrong?! I am now so lost.

Thanks in advance!

You haven't already tried to reload the os? Could be some kind of resource conflict, try manuallly configuring the IRQ's in the BIOS to redouce possible conflicts. I don't remember the screen, but its three or four rows down on the left. Now if it's not a resource conflict (which should be rare in the day and age) then it sounds as if your mobo is dying. Memory controller, USB controller, god knows what else, all possibly toast.

One thing about this board that sucks is the passive cooling on the north bridge. It didn't sound like you were doing any major OC'ing, but it's possible that might be the culprit with your memory issues.

One last thing, have you set the proper voltage on your RAM chips? I've found this board undervolts my G. skill DG9's by .4 vdc. That's quite alot. Something to think about.
