Gigabyte mobo + Celeron D + PC3200 problem. Help please!

I recently purchased a Gigabyte 8I915ME-GL motherboard, along with a Celeron D 326 processor and 512mb PC3200 RAM.

Heres the problem:
On power on, the computer beeps continuously (with AwardBIOS this means a power error). I tried it with a 256mb stick of PC2700 and it worked fine for a day. Then I tried to put the 512mb back in along with the 256 and it started to beep continuously again. SO I remove the 512mb and it STILL beeps! I can't get into the BIOS as it beeps no matter which RAM I have installed.

What could be going wrong here? Both sticks of RAM are confirmed to work in another Dell machine.
