Gigabyte GA-965P-S3 problems

I'm having some issues with my new motherboard, with the forementioned model number. It worked fine for a day, overclocked to 2.6ghz, and today I overclocked it to 3.00ghz and overclocked my RAM in the process. It worked fine for the first boot, but after I restarted, it would no longer boot. i get no POST errors, even with only the CPU installed. I have tried each of my RAM modules alone, both in, and none. I get no POST beeps, and my case speaker connector is properly connected. I haven't a clue what to do. NewEgg will take it back, but I want to be sure before I have to wait a few weeks.

I have reset the BIOS, or have attempted to several times, by removing the CMOS battery for several minutes, shorting it out, etc, with no avail. I have reseated everything, but I get no POST beeps, nor do I get an image on my monitor. I contacted Gigabyte tech support (really good btw) but we could not come up with a solution to the problem. My RAM did initially work, I overclocked it for stability to 2.0V, which it did boot at, once.

Should I go for a DS3, or would that even make a difference?

My system specs are:

Conroe e6400
2x1GB PQI Turbo DDR2667 RAM
Gigabyte GA-965P-S3
eVGA 7900GTO
2x WD hard drives
Floppy Drive
NEC DVD Burner

Hiruko, I have similar problems (with PQI memory on GA-965P-S3) where my PC fails to boot from a cold start. I have to press the reset button to boot my PC. Also my BIOS keeps reseting from my overclocked settings. I think it is a memory incompatibility problem.
