Gigabyte GA-7VRXP Wont Post

I have a Gigabyte GA-7VRXP, XP 2100, with 512DDR Mushkin, and an ATI Readon 7500 Lite.
I turn it on, and within 3 seconds shuts off. What could possibly be the problem?
The CD-ROM and Floppy Drive lights turn on, but the keyboards lights dont even flash.
I'm clueless. Ive Cleared CMOS a few times and get nothing. I also have the Heatsink fan
plugged into the Motherboards CPU_FAN plug. Would a broken processor cause it to shut-down?

Any help would be appreciated.

Oh, AND I hear no beeps. It just shuts off. Ive read other posts where the thing beeped, but this thing doesnt.

I dont want to sound like an idiot, but here goes:

I think I had the heat-sink on wrong before, which would conclude why it was shutting off after 3 seconds.

But now, I get it to turn on, but it does nothing. Drives spin up, lights flash (still no keyboards lights), and blacklight works. BUT NO VIDEO! Grrr. Oh, and it will only stay on when I have the FSB set to 100. It shuts off in 3 seconds with no beeps when set to 133. I have no clue. The clock is ticking. I have about 30 hours to get this thing running, or I'm dead.

ANYONE OUT THERE?! I'd appreciate some input.

Try turning it on without video card, drives or any other card plugged in, ..... see if it beeps... if it beeps your MB is ok ...I think It may be the CPU..... also you could try switching memory stick... It needs to be set to 133 to work....
