Gigabyte 945p-S3 Overclocking

With a C2d 6400, what kind of overclock should I expect? It seems that I can't even get it past 310 fsb! Is it my motherboard that is the problem? I have kingston ddr2 800 ram so that shouldn't be limiting me should it?
 
Another update: I tested my ram all night with no errors. But does anyone know why memtest said my ram was running at ddr2 1025 when it was only at 320!?!?! Also, cpu-z says that my multiplier is a 6x and not 8x but windows checks it out fine. I am convinced it is my motherboard since even at a modest 20% overclock, I can lower my voltage of my cpu and it is still 100% stable. Would it be worth it for another ~500 mhz to buy a new board?
