Random restarts could mean your OC isn't stable or your PSU is flaky. It could also mean you have insufficient voltages, but I wouldn't immediately jump to that conclusion just because you're getting restarts. Your temps look good but I still think your Vcore is abnormally high for 3.2GHz. Have you tried overclocking at all with the stock VID of 1.325 or whatever?

Also, why not try raising the multi to stock 9 and dropping the FSB to try and determine max overclock frequency if you're unsure of FSB stability? Try 9x355 and see if you're able to get Prime stable with lower voltages, that way you can eliminate two factors you're unsure of, FSB @ 400MHz and RAM stability/timings.
