Geforce3 freezes constantly...

Well, I just bought a VisionTek GF3 and I'll play games for about 15 mins......... then I freeze all of the sudden, it also freezes on desktop, surfing the web, while I'm typing this ... (U get the idea)

I am NOT overclocked, it's nothing to do with my CPU... Cause Windows XP even says so, here is the image of what it says
