Any ideas on installation problem of GeForce2 MX400?

I need some help please! I bought this new card made by PNY - Verto GeForce 2, MX400, 64 mb AGP card....nvidia chipset
What I have now (and all is working A-OK, all Direct draw tests and 3D tests check out successful with DXdiag.exe):
Athlon 650 - not overclocked at this time
Asus MB K7M
300 watt power supply (supplied by Multiwave, supposedly approved for use with Athlons)
768 mb SDram, PC133/cas 2 (Crucial - 3 DIMMs 256mb each)
SB Live soundcard ( current drivers)
Nvidia TnT2 Ultra video, 32 mb ram (Diamond card but running reference Detonator drivers 21.83 - 23.11 cause freezing on my system - tried several times with them and had to revert)
DX 8.1
Win98 SE - all Windows updates are current
2 Maxtor hard drives at Ata 66
52X CD
HP-9100 CDR
Std floppy
US Robotics PCI Gaming Modem
10/100 NIC
All AMD drivers and Via drivers are updated also this week
(Northbridge = AMD 751, Southbridge = VIA VT82C686A)
This MB supports AGP 1X and 2X
I can not install the GeForce2 card! Every time, it goes to set up the drivers ( I start with std VGA drivers as advised.) after detecting new hardware, and installing drivers, it reboots Windows then....I get this god awful screeching sound, a blue screen flashing and I have to shut down, go back in via safe mode and re-set to std VGA drivers again. I tried installing the drivers on the CD that came with the card and the reference drivers I have here also. No go. I double checked things in bios that were listed on the troubleshooting Help for the card, and can't see anything wrong there ( aperture size, etc.). I am stumped here. Do you think this card is bad? Isn't compatible with my MB? It's supposed to work with k62 and up, 64 mb ram and up, AGP1x and up...
I re-installed my old video card (TnT2 Ultra), and set up the reference drivers again, and it's smooth as silk. So I know I'm installing drivers correctly....sigh. I checked and no IRQ conflicts...only share that with the PCI steering holder as advised. It's in slot 2 because 1 and 5 share same IRQ as the AGP slot, working fine with the old Nvidia card.
Any ideas or where I can go look? I didn't have any luck on PNY website or Nvidia so far. At least I don't know what to check first.
I NEED to have GeForce2 minimum card running here to use the new expansion of Everquest (online 3D game).
I have several fans in this case, including a drive bay fan, slot exhaust fan, front fan...so I don't think heat is a problem, anyway this never gets started up to even get warm!
Any help is appreciated here.
