Your computer has hardware devices that prohibit you from upgrading to Windows XP.

Conflicting Devices
Setup has detected an incompatibility between your video card & computer's mainboard. Because of this, your computer may not start up after the upgrade. Contact the manufacturer of your hardware for technical assistance

can someone help me make my video card and motherboard compatible?

Perhaps you can try disabling VIDEO BIOS SHADOW, BYTE MERGE, or others AGP settings. Get sure to have installed latest VIA 4in1, and Detonator drivers under your current OS. OR SELL THE DAMM THING AND BUY AN ASUS, heheheh.

so , just to be sure , your upgrading from a previous OS ? win 98 maybe ? or is this a fresh install ? if it's fresh install just try it.if it's an upgrade back up your c:\ or just the important stuff ( you should anyway ) and try it anyway. tell xp you don't want it to detect possible conflicts before install.
also if you just swaped motherboards you hopefully did a fresh install anyway. any problems with that ?
good luck
