I want to know if the following will all work together on Windows 7 Professional:

GIGABYTE GA-970A-D3
Rosewill Black ATX Computer Case with 500-Watt Power Supply
Corsair Vengeance 8GB (1x8GB) DDR3 1600 MHz
AMD Phenom II X4 965 AM3 3.4Ghz 512KB 45NM 125W 4000MHZ
EVGA GeForce GT 640
Seagate Barracuda 500 GB 7200RPM SATA

If this will not work please give suggestions on what will.
Will the PSU be able to power it all?
I am trying to stay under $600
