Gamer's PC upgrade

Hey fellas,

I'm thinking of upgrading my PC due to new BFBC2 being out. At the moment I'm getting 35-40 FPS at lowest settings with drops to 10-15 when in close combat. Its hardly playable so I decided to go for an upgrade. Here's what I got atm:
-Asus P5NE Sli;
-C2D E6300 1.86Ghz OC'd to 2.6Ghz;
-2GB A-Data DDR2 800;
-8800GTS 320;
-Some CoolerMaster 550W PSU;

It will be mostly used for gaming. I plan on spending 1500 PLN (I'm from Poland) which is 500$. Here are 2 options I've been considering:

1st:
- Phenom II x4 925;
- Asrcok A770DE+;
- another 2 GB of RAM, which would make it 4GB DDR2 total;
- HD5770 512;

2nd:
- Inter Core i3 530;
- Asus P7P55D;
- 4GB of some DDR 3;
- HD 4850;

Which option is better? Can Phenom II be overclocked on that mobo? Are DDR 3 worth buying or the difference between DDR2 and DDR3 isn't that big? I'd like to play comfortably on it for 2-3 years. I really need your help guys 🙂
