Frustrating XP taskbar freezing

I recently built my girlfriends comp but it keeps randomly freezing the taskbar and background windows (Any window you where currently working in would work perfectly). I left the taskmanager open when it did it to see if a program was hogging resources. No program seemed to be hogging up anything , it's up to date on every single driver and MS update. I ram memtest on it ram showed up fine. CPU temps are stable around 30c even during the random freezing. Defrag and scandisk did nothing. Hell I even did a repair install and it still acts weird.
(Ran a adaware , spybot and avg to check for malware too)
All that's running is Firefox , Winamp, AVG , Zone Alarm , AIM and some PPPOE dailer software from verizon.
I'm planning to format it and backup her stuff to my other HD if all else fails but I was wondering if anyone has any ideas as to what could be causing this.

All I have to go on right now is that the ram is too slow or that dialer has something to do with it.

run memtest overnite for the RAM.

What psu are you using?

What does event viewer show up?
