Freezes in bios and memtest96

I have abit nf7-s, I am about to send it back, Here is my problem. Anybody know what is going wrong. First put machine together, worked fine, then started getting shutdowns in windows. Memtest86 had like 20000 errors. So I rma'd ram, new ram same issue, bought 256 kingston value ram for test, same problem. I am about to send board back. Anybody know what is causing this.
 
Alot of things can cause that, most of the time shutdown issues like that come back to be the power supply, I hope you have tried another one before sending your board back. It can also be caused by overheating cpu's, you didnt say what speed you had your cpu set to.
 
What do you have the ram timings set to in your bios?

When you put the system together was it a brand new HD, or did you use the HD from your previous system? If so, did you reformat/reinstall.

If you used the HD from your previous system and didn't reformat/reinstall, you may be having a chipset driver problem. Kinda of a wild guess here.
