Format Question: Win98SE -> Win2K

I am about to install Win2K on my dad's computer that is currently running Win98SE (Fat32). What is the best way to install Win2K?

1) Just boot off of the Win2K CD and it will format (NTFS) and install.
or
2) Boot off of a Win98 bootdisk, format C: (Fat32), then boot off of the Win2K CD and it will format (NTFS) and install.
 
Just for your information, you dont have to install win2k on a NTFS partition... you can install win2k on a FAT32 partition and it will work fine...
