*FIXED* I need some help, CPU upgrade gone bad

Just finished installing a new TbredB 1700+ in my system. I bought an SLK-800A, a Panaflo L1A, and Arctic Silver 3 to go along with it, hoping to overclock. However, I cannot get Windows to load even at stock speed and voltage. 1/2 way through my desktop loading up, the computer shuts off abruptly. I am assuming that the CPU protection on my MSI KT3 Ultra-2 is kicking in and shutting down the system. I have it set for 70C. But the heatsink isn't even really warm to the touch. I followed the instructions for applying AS3 absolutely to the letter. Just letting the system idle in the BIOS setup screen, my processor temp stabilizes at 44C with a system temp of 33C (it's hot today). I let it idle for 15 minutes without any problems, but Windows is a no go. If anyone can come up with ideas or suggestions, I'm definately open for them.
 
Is the RAM new aswell?? That could be the problem, or the PSU when I think about it.
What was the old CPU?
 
I've had the mobo and RAM for 9 months. PSU is a month old, but worked flawlessly before. The old CPU was an XP1800+. I've never had a problem with this system. I'm going to try and reseat the heatsink, although I doubt that's it.
 
Took mobo completely out of case. Heatsink looked level and seated firmly. Reseated it just in case. AS3 looked REALLY thin, as in it looked like the core had something smudged on it. Is this normal?
