Looks good except I believe I have heard that that mobo will not run that ram in dual channel. I could be wrong though. If I am, someone please correct me.

DFI over the Asus Mobo (better oc options, better board)

Twinmos/G. Skill $100 1GB 512x2 over Corsair Value (twinmos is utt/bh5 and it can do 2-2-2-5 @ 250+, gskill is decent, corsair is "generic")

NEC over LITE-ON (too much noise, nec is silent)

there some known issues w/ g.skill ram on DFI board.. i'd get OCZ if i were to go for DFI..
Personally... i prefer MSI over asus... but DFI is just a awesome 939 board..

Seagate Barracuda 7200.8 ST3200826AS 200GB
Why get older hardware? Checking Newegg prices, this was $10 more than the HD you listed. They're both Seagate 200GB HD's but the 7200.8 is a newer generation and faster in some aspects. Nothing groundbreaking but faster nevertheless. At only $10 more than the HD you listed it's not like it's terribly more expensive.

Other than that, I really don't see anything bad about your hardware choices. I'd choose maybe a Chaintech NF4 ultra mobo for it's lower price and moderate to good overclocking abilities and an NEC DVD burner.

MoBo: looks good to me, as long as you don't need firewire.

OS: Consider getting windows XP Pro x64 (64-bit) edition. It's still young, but it's going to be the way of the future.
