Feel the need to upgrade - need advice

Hello everyone,

I have not been following the latest trends quite as much, and I am currently facing the fact that my two computers at home are starting to age quite a bit.

System 1:
Barton 2500+ overclocked to 2 GHz
Asus Motherboard - the single channel NForce one.
1 GB RAM (DDR1 333)
Two Seagate harddisks
Asus ATI X800 Pro AGP
case, keyboard, etc..

System 2:
Mobile Barton overclocked to I think 1.9 GHz
microATX motherboard with the NVidia dolby chip on there
512 MB Ram
ATI 9800SE All-in-Wonder AGP
One Seagate harddisk
Nice microATX case, keyboard etc...

I used to do more gaming, but I really do not have the time anymore. I will probably pick up HL episode 2 at some point, but system 1 should handle it even in its current state.

I do some programming, video encoding, and picture work, so a mild upgrade in terms of processing power would be useful. Also, system 1 is rather loud, I would like to quiet it down. I do not really have the need for the all-in-wonder anymore, so maybe I will switch it out.

Here is where I need your help. My upgrading budget will be around 300-500 Euros, I can buy parts easily in Europe, and maybe in the US, although that would be more difficult. That means I can really only upgrade one of the two, which is fine. I will then have to decide what old parts to combine in the other system.

Any ideas are welcome.
