Experienced DivX users.. I need your help!

I'm trying to convert a MPEG2 640*480 Video into DivX format, preferably the same resolution.

I have downloaded the following software from the DivX site:

XMPEG 4.5
DivX Pro Codec 5.0.5

How do I encode the MPEG2 file into good quality DivX format?
Everytime I open the mpeg2 file and tried converting it to DivX Video w. mp3 as audio codec the following error msg come up:

"An error occured when trying to generate the file. Check that you're not using the output file (im not) or the program is setup correctly."
Does that mean theres errors in the codec settings?
