OP's deal is better, but I'm still waiting for sub $300 prices before I upgrade.

How? Gigabyte is $20 less, has superior cooling, noise levels and overclocking and better I/O outputs. Unless you are talking stock out of the box performance, the Gigabyte easily wins. Also, the Gigabyte card I linked is $295, so I am not even sure what you mean by waiting for "sub-$300" prices.

Both are good deals however I'd happily pay $20 more to have my warranty with EVGA over Gigabyte.

I thought all the 970s had issues with not actually having 4GB of RAM (only 3GB useable or something)... Yes?

Just let people pick and choose what they think is a good deal. Its seems in every deals thread that you take issue to everybody who chooses a video card that does not meet your seal of approval.
