I have a DFI Ultra-D (2/18 bios) w/ a 3200+ and some Geil ram. In isolation, I can get the processor to right around 2.5 and the memory is fine to 222. Right now, I have the system going 1:1 at 222.

Whenever I try playing with the divider (outside of 2:1 when I was seeing what the CPU could do) to maximize both the CPU and ram I run into trouble. For instance, I tried the system at 240 with at 6:5 so the memory would run at ~200, which is very conservative on the ram, and the system goes deep blue immediately following the XP load.

Anyone have any idea why this is occuring and what I might do to remedy it?
 
Use CPU-Z and or Clockgen to check your memory speed and verify that divider is working, using lower settings if necessary.

What is your vcore setting? With the A64's onchip memory controller when you overclock the ram you are also overclocking the CPU. It's quite possible that your current vcore will support CPU @2.5ghz w/ram 125mhz or CPU 2.2ghz w/ram 222mhz, but not CPU 2.4ghz with r/ram 200+mhz. Try bumping the vcore

I currently have the vcore set to 1.5v, but I have tried as high as a little over 1.6v.
