Epox 8K7A shutdown problem?

i have been using this board for about a year without problem on Win98 until recently i upgraded to win2000 or winXp. Either 2000 or XP runs unstable and never be able to shut down.
When I click on "shut down" or "restart", it stops there and after a long while some message about sth like "...program not responding". when i click on "end now". then nothing apears on screen. so each time i have to shut it down by pressing the power button on the case.
I'm using Kingston 256DDR2600. So it should not be the memory problem. I used to have a 250W PS and now a 300W. it doesn't make a difference. Since win98 can shut down the system very well. I doubt it's a hardware problem. however, i downloaded win2000 updates, the latest service pack etc. it still doesn't work. so i doubt it's the OS problem.
Anyone have similar experiences?
Please help me.

Maxtor 40G 7200 + WD60G 5400
Soundblaster Live 5.1
Savage 4 PCI 32M
Artec 16X DVD rom + Liteon 12X CDRW
SOHO 10/100M NIC
Belkin 56K V92 modem
300W non-name brand PS
it seems that my system is much loaded up and maybe i need a more powerful PS. but my question is: why it works well in win98 but not in 2k or xp?

Did you UPGRADE to Win2K or did you do a CLEAN install?
A clean install is always preferable.

I also agree that you should get a better PSU.

it's not upgrade. it's a new installation but with multiple boot. that means i keep the win98 and install win2k to a new drive so that when the system boots, it has a boot menu to select.
