Economical way to do a decent VHS/Divx conversion

Well, with the Twilight Zone marathon over the last 40 hours, I have managed to capture the entire thing on VHS tape. I am now interested in converting the VHS tape to a Divx format that I can burn on CD. I am setting up a dedicated PC to do this in the hope that this will speed up the process. Now here's my question (browsing the FAQ, I couldn't find a recent answer): What's a cheap way to do this well? I want to have these Divx files to have good video/audio quality, and already have some parts ready for this dedicated VHS/Divx PC:
VCR
Athlon XP 1800+ (won in XPP)
Gigabyte Ga7DXR (won in XPP)
256MB DDR (can add more)
That's about as far as I have so far: the rest is a clean slate. I have heard the Hauppage cards are good, but need additional software, etc.
So what are your thoughts on the equipment needed to pull off such a stunt? Any help is greatly appreciated.
