Downsides to running 32bit Win2K3 on 64 Bit Processor?

Hello!

I recently built a new server based on a 64-bit processor (AMD 4000+) on an MSI K8N motherboard. I have Win2K3 Server installed presently, but it's not the 64 bit version. Based on any experiences out there, would it behove me to go out and get an upgraded (64 bit) version of the server software? What kinds of performance improvements might I expect to see?

Unless you have 64 bit applications or plan on adding more than 4 Gigs of RAM there isn't much reason to upgrade.
