You have to fill out a fictious business name form for your state. The cost of that in PA is about $75.
Do a search on your states website for buisness owners.

Answer is - it depends.

If you are not based in the same state, then you MAY be able to register that name in your state. It depends on how that company is registered. There are different ways to go about it; there are quite a few websites out there, and the county or state government normally has advice about that on their website, or they at least give a # to call about it.

As for the difference between Ltd and Inc, it doesn't matter; it's the same principal name. If they are registered in your state, chances are very good that your state would not allow you to register (nor would you likely be able to register at federal level); furthermore, that company, since it already exists, would likely win in court if they raised a lawsuit against you because of your chosen business name.
