I plan to overclock an XP2100+ and my memory. I'm gonna get an Antec case with 2 120mm fans. I'm probably going to get the Panoflo LA1 fans. They push 69cfm each at 30db. Think this will be enough air to keep the cpu cool with the big overclock i'm planning to do.

I hear these fans are pretty quiet too.
 
The 2 120mm fans should be plenty, but they probably will be sort of loud. Not too loud, but definately audible. If you want it really quiet you coud always 7 volt them when you arent doing much.

To keep the CPU cool I would mainly focus on a good heatsink and fan. Maybe Thermalright SLK-800 with the fan of your choice depending on noise.
