Hi, I used to overclock this here northy to 3.4ghz with fsb and ram at 243 MHZ. I continued that for a couple years until my half of my 2 gig ram 4 way DDR set up died and I couldnt post with OCs of any kind.
So I just ordered OCZ PC3200 CAS 2 Ram:
http://www.newegg.com/product/product.asp?item=N82E16820227210
and will overclock hopefully on my Abit IC7-G back to the 3.4ghz range.
My question is where do you think I would see greater performance OCing a 3.2 prescot or sticking with my 2.8 northy?

Stick with the northwood. @3.45ghz, my northwood was faster than my prescott@3.82ghz in games. If you are doing video encoding, the prescott would have an advantage though. Of course you would also need a much bigger heatsink to cool the prescott.
