i'm thinking of building new computer, trying to figure out whether to get athlon or duron
what is the main differnece between the 2? only things i know is that athlon has 384 cache and duron has 192kb of on chip cache.
and obviously the number of transistors.
and price
any other major changes or compelling reason to shell out more to buy athlon chip?

Depends on what you want it to do for you. Most cases Duron is just fine.

In all seriousness, how much do you like having money. The durons are cheaper. If you want all out performance, get spendy.

Not a heavy gamer, or graphics, than do your wallet a favor and buy a Duron 600-700, and overclock that puppy past 900 into the ghz, or buy one already set around there, for not much more.

Yes it will. Don't go cheap though. Go with any of these:
KT133: MSI K7TPro2(a), Abit KT7, AOpen (forgot name) Asus A7V (note has a problem with AWE souncards from what I hear)
KT133A: Any MSI, Asus, Abit, Iwill boards.
The MSI appear to be the cheapest not far ahead of the Iwill. I wouldn't let any other boards come near my T-Bird. You get one of these babies, you won't be dissapointed ;)
