DFI nF4 Ultra-D Help

Welll im about to order a DFI nF4 Ultra D motherboard and im planning to o/c my AMD 64 3200+ Venice to 2.4 with stock cooling. And I have 2 questions. Will i be able to have any stability issues if I use a 420 Watt Supply while my AMD is clocked at 2.4? And if my stock cooling is good enough to make my computer cool after I o/c it to 2.4?

need some more info on other parts, especially what kind of psu it is. is it at least a native 24 pin?
 
420 watt is not fine if it is generic.

350 will power that rig if its from a good brand

what PSU exactly is yours?
 
How many amps does it have on the 12v rail. Also if it is not native 24 pin atx, then it will not work correctly.
 
That psu only has 18A on the 12V rail. Look for something w/ atleast 24A on the 12V rail.

ie. 480w-550w range in one of these brands: Antec, PC Power & cooling, OCZ, Enermax,Seasonic, Zippy.
 
make sure you get a NATIVE 24pin PSU for that DFI.... TRUST ME, I speak from experience.
I picked up a NEO Power 480 used for $80. Modular is SOOOOOOOOOOOOOOOOO nice. I'll never go back.
Its pushing my DFI + OC'ed Venice, 3 HDs, 1 DVDROM, floppy, lotsa USB and 6600GT n/p
