Go with the AMD processor, which is better. If you are looking for a good AMD board why don't you take a look at MSI KT3 Ultra it costs around $70, and it is a great motherboard.

since you already have a top notch motherboard, i'd upgrade the processor( the 533 fsb is a nice bonus) and being able to save on the motherboard (added costs) would keep you in a nice budget but as always ymmv
