Current setup - what can I keep?

I want to upgrade my system to a C2D (e6300 or 4300)
Im hoping to do a mild overclock
also considering getting an 1950Pro video card.

Here is my current setup. What can I keep using?
Im hoping that I can keep my memory and find a board that can use it.
Ive heard rumors that the C2D boards are very picky on memory.

Abit NI8 SLI mb (I know this has to go)
Pentium 805D running at 3.32
2GB (2 x 1GB) PQI DDR2 667 (PC5400) mem model pqi25400-2gdb
Artic Cooling Freezer 7 Pro
3d Fuzion 7600GS
Lian Li PC6b
Rosewill RD450 - 2-DB ATX 2.2 (This has been a rock solid ps for me)
DVD burner / Hard drives etc.....

Can I just replace the motherboard for now... keep using the 805D for another 2 months till Q2 hits and hopefully the prices drop some more? Then pick up a processor?

My budget is such that I will have to buy these parts one at a time so that I can sneak it under the wife early warning radar.

So figured buying in order would be motherboard , then processor , then video card.

Is it all a pipedream? Or will I have to just replace all of it?

Have you tried overclocking the 805? As far as video, only you can determine if your card is adequate for your games. Fry's has had some pretty good deals on core2 duo and the quad core 6600, with free boards. They have the e6300 bare cpu with board for $169 (ends today). They also have a quad core with free premium board for $848.

I am overclocking the 805 it is a 2.66GHz running at 3.32

Ive had it running even higher and stable but I like the cpu temperatures better at 3.32.

Unfortunately there are no Frys where I live, so I usually order from Newegg, ZipZoomFly, SVC, and have even had very good service from TigerDirect.

So am hoping someone might know if my memory will work with one of the p965 chipset motherboards.
