What is the difference btw Live! MP3 + 5.1 and Live! 5.1? What does MP3 part do on Live! MP3 + 5.1? If it's just software to create MP3, then it's useless to me...

It's all software bundle. The MP3 5.1 and the Live 5.1 from Newegg are the same cards except for the software they are bundled with. There is some controversy over the actual quality of the card depending on how much you pay for it, but I think that's all false.
