CPU usage pegs at 100% after modem disconnects in Win XP Pro..WTF?

Almost every time I disconnect from the net my CPU gets pegged at 100%, sitting at the desktop with no apps running. You know how in the task manager it shows what processes are running and how much CPU time they are using, well is shows SYSTEM at 100%, and the only thing I can do is restart XP to fix it. Anyone got an idea as to what would cause this? A modem driver problem? Restarting every time I get off the net is a pain in the ass.

Sounds like a driver problem, but what are your system stats?
