CPU retail?

I'm trying to order 1 gig tbird and a motherboard(A7V or KT7 raid).
Is there any difference in performance between oem and retail? Or just whether it has hs&fan?
Is it better to order mobo with cpu than buying separate?
And if possible, the best place to order?

Retail CPU's generally come with a Heat Sink and fan and have a 3 year warranty.

OEM CPU's generally do not have a heat sink and can have anywhere from 30 days to a one year warranty, depending on the OEM you are purchasing it from...

I picked a store selling mobo with cpu. They have options 1)I can upgrade to DUAL Ballbraing Processor Heatsink/Fan for $33, 2)I can upgrade to Upgrade OEM AMD to Retail Version for $56.
The regular warranty is 15 days, but with option 1) 1 year, with option 2) 3 years.
What will be the best way to go?
 
Maybe later, but I doubt it.
I don't think I'll need it for my use. NO games, general use and occasional video editing.
 
I know, but I'll keep this system for a while and wanna avoid a situation like now. I'm using pentium 200.😱
Besides, the price difference is not so big up to 1 gig.
By the way, it's my first pc building. Is it really hard to put together cpu and hsf on a motherboard. I heard those cpus are really vulnerable, so I'm quite scared to handle this myself.
