i bought a motherboard bundle-- Athlon XP1500-- the CPU/heatsink and fan were installed onto the motherboard--- the fan seems smaller than the heatsink- so much so that the screws that hold down the fan are actually threaded between the "fins" of the heatsink.

my question is, is this ok? i can see 4 unused holes around the cpu/heatsink on the motherboard, but i can't imagine a larger fan being screwed into those holes as the heatsink seems to overhang just barely two of the holes. i trust this is not too out of the ordinary.

There are some heatsinks where this is the case. It will not pose a problem having the screws into the fins.

It's OK to have the screws screwed onto the fins of the HS. Just make sure tht the fan sit tight onto the HS (u dun wan the fan to fall off!).
