I am confused as to the box designation on cpu's. This appears to mean that heatsink and fan are included, right? What about overclocking, will the fan be good enough? I am thinking of an AMD Tbird @ 900 to 1000 mhz. This is my first home built system.

You got it right, Retail-Boxed W/HS~Fan also w/full warrentee (?yrs?)
OEM No HS~Fan limited warrentee
