Could my MB be causing my RAM to fail MemtestX86?

My system: Please see my Rig below in the Signature:
P4 2530@3060 Mhz.
Two 512MB HyperX PC3000
Gigabyte GA-8PE667 Ultra
ATI Radeon 9700 PRO

I am getting error on channel 1. I switch the RAM out into different positions and still get the same errors. I leave just one stick in and still getting Channel 1 errors. I have not yet try just slot 2 with one stick.

I am running my processor 19X161.
RAM 2.6V, timing 3/6/3/3, 2.5 Memory setting at 403Mhz. This would be equivalent to PC3200.
I don't know how many can run theirs at 200FSB without failing the Memtest. Mine barely at 161FSB and it fails left and right. I think it might be the motherboard with bad memory slots.

NOTE: I ran torture test with PRIME 95 and Saundra for 6 hours no problem.

Am I worry too much about the memtest failure? In what situation is system important when failing the Memtest? Should I RMA both of them?.
