Conflict with Drivers

Okie guys, I have this installation problem with win2k. Somehow two of my drivers are conflicting with one another. One is windvd v2.3, the other is Netmate/USB Ethernet Link made by www.catc.com. One works or the other, never both at the same time. Else, I'll see a blue screen, can't remember the full contents of it, but I know its something to do with the netmate2.sys file. Which do I install first? does it make a difference? else how do I go about solving this problem?

3. VIA All-in-one 4.25
3. Netmate/USB Ethernet Link
4. WinDVD v2.3

I was under the impressiton that Win DVD versions less then WinDVD 2000 were not W2K compliant. I will try to research the issue a little further but I think that the App may be your problem...
