Computer wouldn't boot sometimes why??????

Ok I have an Intel I865 PERL MB. I have 512 Megs of Corsair XMS memory and a P4 2.8 C CPU. I also have a Radeon 9800 Pro. Even so often, now more than before my computer will not start. It powers up and my 2 Vantec Sealth fans come on but my screen is blank. I then hit reset and then it boots but it gives mw two beeps and the following error "CMOS/GPNV Checksum Bad. WTF does this mean????? It happens about 6 times out of 10 that I turn my computer on. Every once and a while it gives me a memory error. Now I went out and bought new ram to see if this was it, it did the exact same thing. So anyone have a clue what this could be? I'm thinking the MB or maybe the power supply. I have an Antec Truepower 430 Watt PSU. Also I don't hear my hard drive booting up when the screen is blank even though my two 120mm fans are on. Any help would be great!

Sounds like either the CMOS battery is going bad, or perhaps the CMOS itself has gotten corrupted. If you enter the CMOS, and save the settings, does the problem go away, or crop back up?
 
I save the settings and then it comes back after a few times of turning the computer on and off. I'm wondering if I might need a new MB. I pulled the battery out and put it back in, that didn't help either. What is annoying is it only happens like 6 times out of 10. Should I look into another MB? When I updated the bios about a month ago I used the intel update that allows you to update it in windows rather than dos.
