When I shutdown, it restarts instead, i can't seem to shut this comp off. My main rig is dead so i'm using this one.

Specs:

Pentium II 400mhz
Tekram P6B40-A4X w/ v1.10 bios (latest)
Windows 2000 Professional w/ SP3
Installed under as ACPI computer
BIOS settings on power management
Just freshly formatted, nothing else installed except critical updates and SP3

any ideas?

All you need to do is change that small, round battery in the motherboard. It's easy to take out and easy to put a new one in. The hardest part may be finding one, just take the old one with you to a place that sells batteries and you should have an easier time.
