Computer won't shut down!

I'm hoping I can get some help on my second computer. System specs:
Asus P5A-B, bios 1010
AMD K6III-450, not overclocked
Viper 770, TNT2, 32mb (non-ultra), I used V770 and Nvidia 6.18 and 6.31 drivers
Maxtor 7.0g
PC133 64mb generic
USR 56k winmodem
Asound ISA soundcard
I re-installed win98se, installed rain,realplayer 7 and drivers for soundcard. I clicked start>shutdown and gave me a BSOD! Tried different drivers still the same. Here's what it said:
An exception OE has occurred at 0028:C26071D4 in Vxd. This was called from
0028:C182C8D8 in Vxd.
Any suggestions?

The same thing happened to my friend when he installed Win98SE as a full version. He later installed his win95 first then upgraded to win98se and the error went away.

I get the same thing after I run a game, but not after shutting down when a game has not been played... this is in 98SE also. It happend EVERYTIME on 98Standard before I reformatted.
