Computer unstable after CPU change?

I downgraded my HTPC from a E6600 to a E6320. The system was rock solid with no problems for 2 months. I wanted to put the E6600 in my main rig since if was over kill for the HTPC. Since then it will lock up for no reason. Sometimes I can not get out of sleep mode while other times it will lock while I'm watching a movie.
After the last lock up I checked the CPU temp and it was around 30. Not great but not enough to cause any problems I would think.
Could the CPU be bad? I can't think of any reason why the change to the E6320 should cause any problems but thought it was worth asking.

Wanted to add, I'm running Vista Home Prem and use the computer only as a HTPC. Thanks

Sorry, should have included that info from the start. I'm at work right now but will give the best info I can and update it tonight when I get home.

Mobo is a Abit IP35-E with the shipping BIOS. I know a new version has been released and I'll be sure to update it.

The CPU is a Intel E6320

The ram I'm using is 2 1GB sticks of the HP stuff that was on sale. It has micron chips on it.

I'll get better info when I get home tonight. Everything was working fine until I change the CPU from the E6600 to the E6320.
