computer keeps rebooting now dead - cpu? -please help

Ok before I spend any more money, I have a 2.4C OC to 3GHZ and a asus p4p800 dlx. Computer yesterday kept on rebooting and rebooting. It would reboot between a few seconds to up to 1 minute and reboot again. Ok powersupply no problem, its was pretty old so I bought a Antec True 430. Ok, computer still does the same thing. it would reboot way before it even gets into windows. ok, removed everything except for cpu, video card ati 9800pro -bios hacked, and memory. still reboots. tried one stick of memory at a time, still same thing. cleared cmos and still same thing.

Funny thing on one reboot cycle it states cpu overclock failed. it was at default settings. I removed and reseated the cpu after a few reboots later now there is nothing. No beeps, nothing. I get no video now. it doesnt even beep with the power cord not plugged into the video card.

Ok the question is, is my cpu dead? or the motherboard? I just spent $70 on the PSU so I really need to narrow it dow to cpu or motherboard. I don't want to waste anymore money. Thanks for the help.

take the system out of the case, put ot on a static bag or something, and try to boot it up that way.
i'd say it's either a grounding problem, problem with the videocard, or maybe the mobo... i'd try to get it to startup with a different vid card (unless the removing from the case works) and test that way... once you have narrowed EVERYTHING down, you can then easily figure out what the problem is.. IMHO likely not the CPU.

can you test the cpu on a different mobo? from a friend probably? also the vid card and memory? Good luck
