Computer keeps rebooting HELP!

The hardware is as follows:

AMD Athlon 64 3200+
ASUS K8V SE DELUXE mobo
Seagate 200GB 7200 SATA HD
Corsair Value SElect 400 FSB 412 DDR 400mhz Ram
PNI Nvidia GeForce 6800 GT
Antec 350 Watt PSU


The computer boots up to windows, waits about 10 seconds, and it immediately reboots. Any suggestions?
