Please... I have no experience in Athlon 64 or 939 vs. 754 sockets or anything like that. My current rig is in my sig. But I have come to find that I have a spare 9600PRO, 1 GIG 3200 DDR RAM, 520W PSU, nice case, and audigy 2 platinum. I was gonna just get a cheapo MB and CPU and build another spare... but looking at my rig leads me to believe that I am better off replacing the CPU and MB in my current rig and putting what I have now in the spare.
I was lead to believe that socket 939 is better than 754... so have narrowed the MB choices down to the two linked above. If I am incorrect in believing that about 754 vs 939, please let me know.
Anyway... I don't know the specs difference between these two boards, and which is better so advice and pointers are appreciated.

EDIT: I am pretty much leaning towards the gigabyte. I have been building with their boards since 1996 and like their products and especially like their customer support. I heard MSI was great, but the more I read here, the more unsure i am about that.
