comp keeps rebooting when I multitask

My comp keeps rebooting itself when I multitask, my mobo is running at about 40c, cpu at about 37c under full load. It used to freeze but now it just reboots itself.

specs: opteron 165, dfi lanparty sli, g.skill extreme ddr500, evga 7800gt

Anyone have any ideas? I tried a new power supply and its the same thing. Maybe its the memory? None of my hardware is oced, all stock. I also ran memtest for a few hours, 0 errors.
 
most of the time, errors like that would be due to RAM or Power, or a mixture of the two.

What psu are yu using?
Can you dl and run memtest overnite.
 
I ran memory test, it comes built into the lanparty. Got 0 errors. I'm going to try it with my corsair pc-3200 1gig memory and will see if it keeps happening. I used a 80$ antec I got off of newegg, that one had a fan that wasnt working in it. I thought that was the problem so i swapped to the 500w power supply that came with my case and it still happens.

Are minidumps written?
If you analyze them, what do they say and what driver do they point to?
Have you updated that driver?
 
ive seen random reboots due to bad nforce drivers.

id try running super pi in windows and see if it crashes
do like a 2 meg test and see whats up.
super pi/prime95
mean memory issues most of the ti me.
